TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (“T&Cs”) apply to all services, consulting, creation, communication, event organization, advertising, and product deliveries developed by ADSTRIVER, SARL – 14 avenue de l’Europe – 77144 MONTEVRAIN – SIRET 819 067 349 00020

The T&Cs are available on the website www.adstriver.com and provided to any CLIENT upon request. A link directing to the T&Cs on the website is mentioned in the quote.

ART. 1 – PURPOSE AND SCOPE
These T&Cs detail the rights and obligations of ADSTRIVER and its clients.

Unless otherwise stated in specific terms outlined in the quote, any acceptance of a quote for services provided by ADSTRIVER by the CLIENT implies full and unconditional acceptance of these T&Cs. The CLIENT declares and acknowledges having full knowledge of these terms and waives the right to invoke any contradictory document, including its own general terms of sale or purchase, which are unenforceable against ADSTRIVER.

ART. 2 – SERVICES
ADSTRIVER supports its clients by addressing their communication needs, from conception to distribution:

Visual identity (design, evolution, etc.)
Print (art direction, execution, illustration, graphic design, photography, printing, routing, etc.)
Digital (web design, UX design, responsive development, SEO consulting, newsletters, motion design, video, etc.)
Scenography (stand creation, space planning, signage, 3D design and production, interior architecture, etc.)

ART. 3 – DURATION AND EFFECTIVE DATE
The duration of services is defined in the quote or contract.

Unless otherwise specified, the contract will only take effect after receiving the quote accepted by the CLIENT (quote signed and dated with the mention « Approved » by the legally responsible person and the company stamp) and the payment of a 30% deposit of the total price mentioned in the quote.

If the signed quote and/or deposit are not received, no services will commence, and ADSTRIVER reserves the right to cancel the proposal.

ART. 4 – QUOTES AND ORDERS
By validating any order, the CLIENT acknowledges having verified the suitability of the proposed service to their needs and having received all necessary information and advice from ADSTRIVER.

The services provided are only those listed in the quote. No modifications will be made after the quote’s validation.

Any service not mentioned or modifications requested by the CLIENT will be subject to a supplementary quote (changes to text, layouts, etc.) and a price adjustment. Corrections beyond the number of revisions stated in the quote will be billed based on the time spent at the hourly rate specified in the quote.

In case of order cancellation by the CLIENT, for any reason other than force majeure (see art. 13), the deposit paid upon order will be retained by ADSTRIVER and will not be refunded.

ART. 5 – PROOF APPROVAL
The Proof Approval or proof copy signed by the CLIENT (paper or email) releases ADSTRIVER from liability, subject to the corrections noted on the Proof and constitutes acceptance of the printing or production as-is.

Any reprinting or new production due to anomalies or errors not reported by the CLIENT will be fully borne by the CLIENT.

ART. 6 – PRICING
The prices are as specified in the quote and are valid for one month from the date of issue.

They are expressed in euros and calculated excluding taxes. Therefore, they will be increased by the applicable VAT rate and any transport costs at the time of the order.

The service price cannot be renegotiated after the service has been performed.

ART. 7 – FINANCIAL TERMS, PAYMENT, AND PAYMENT METHODS
Invoice payments are due within a maximum of 30 days from the invoice receipt date unless an additional deadline is agreed upon and accepted by ADSTRIVER.

Payment is made by check or bank transfer, where applicable, according to a schedule set in the specific terms of the quote. No discount will be granted for early payment.

Any unpaid amount on the due date will incur late payment penalties calculated at an annual rate of 12%, payable automatically without formalities or prior notice.

In accordance with Article L.441-6 of the Commercial Code, a fixed indemnity of €40 for collection costs will be applied, in addition to any other action ADSTRIVER may take against the CLIENT for invoice recovery costs, including damages owed.

Under Article 1231-5 of the Civil Code, in case of debtor default, amounts recovered through litigation will be increased by a fixed indemnity (penalty clause) of 15% of their amount, in addition to late interest.

If payment conditions are not met, ADSTRIVER reserves the right to suspend the provision of agreed services, execution of obligations, and cancel or reduce any discounts granted. If non-payment persists, the contract may be terminated under the conditions outlined in Article 9 “Termination.”

The CLIENT waives all rights to retention or compensation.

ART. 8 – RECIPROCAL COMMITMENTS
Under its general obligation of means, ADSTRIVER commits to:

– Provide all necessary information and documents for the preparation and execution of all missions
– Execute its services according to the professional standards.

Approval of the Proof by the CLIENT (signature or email validation) releases ADSTRIVER from any liability regarding its creation.

The CLIENT agrees to:

– Provide a detailed, unmodifiable specification document unless otherwise agreed
– Collaborate actively for project success
– Provide all necessary elements for the service as per the agreed timeline
– Pay deposits and invoices within the agreed deadlines
– Notify the service provider of any competition with other providers
– Ensure all rights of ownership and usage are secured for submitted data
– Guarantee that images, photos, logos, texts, videos, designs, data, or any elements used comply with applicable laws.

The CLIENT assumes full responsibility for compliance with copyright and Internet laws.

ADSTRIVER is relieved of any liability for:

– The legality or relevance of the provided content
– Dissemination or exploitation of such content
– Data loss during transfer.
